Overview

These Terms govern your use of qially.com and any services provided by Qi Ally.

Services

Qi Ally provides fractional C-suite leadership, AI workflow consulting, and strategic advisory services. Specific terms for each engagement are defined in Statements of Work (SOWs) or Service Agreements.

Engagement Terms

Scope

• Services are scoped and priced via custom proposals
• Changes to scope require written agreement from both parties

Payment

• Invoices are due within 15 days unless otherwise agreed
• Late payments may result in paused services

Confidentiality

• Both parties agree to keep proprietary information confidential
• Client data is protected under separate NDA/confidentiality clauses

Intellectual Property

Client Work

• Deliverables created for clients (financial models, strategies, documentation) belong to the client upon full payment

Qi Ally Materials

• Templates, frameworks, and methodologies remain the property of Qi Ally
• Clients receive a license to use delivered materials for internal purposes

Termination

Either party may terminate an engagement with 30 days’ written notice. Termination terms (payment for work completed, transition support) are outlined in individual agreements.

Limitation of Liability

Qi Ally provides consulting services in good faith but does not guarantee specific business outcomes. Liability is limited to the fees paid for the engagement in question.

Governing Law

These Terms are governed by the laws of [Your State/Country].

Dispute Resolution

Disputes will be resolved through:

1. Good-faith negotiation
2. Mediation (if necessary)
3. Arbitration (binding)

Changes to Terms

We may update these Terms occasionally. Material changes will be communicated to active clients.
